Internet Creatives (hereinafter referred to as "Parent") AND you (hereinafter referred to as "Customer")

HAVE

entered into a Customer Master Agreement ("Agreement") of which this "Web Developing and Designing" is a part.

WHEREAS, Parent provides Web Developing and Designing;

WHEREAS, the Customer wishes to place an Order for Web Developing and/or Designing through the Parent;

NOW, THEREFORE, for and in consideration of the mutual promises, benefits and covenants contained herein and for other good and valuable consideration, the receipt, adequacy and sufficiency of which are hereby acknowledged, Parent and the Customer, intending to be legally bound, hereby agree as follows:

1. DEFINITIONS

1.1 "Web page, webpage" is a document, typically written in plain text interspersed with formatting instructions of Hypertext Markup Language (HTML, XHTML).

1.2 "Web, website, web site, site" refers to the Web page/s, pictures and other files, hosted in a professional server, where people is when a certain domain name is reached.

1.3 "Designing" refers to the proccess of composing colors, graphics and pictures in a personalized feeling.

1.4 "Developing" refers to the proccess of building the structure and/or designing of a hosted website and/or Database.

2. OBLIGATIONS OF THE CUSTOMER

2.1 The Customer have to pay 50% of the final price in advance, at the beginning of every web project, being this deposit not refundable.

2.2 The Customer must ensure that all the information and digital files needed to develope every web project will be available to the Parent in a maximum of two weeks, 14 days, from the starting date. The Customer agrees that not complying this clausule any right or deposit payed in advanced will be lost and the Customer will have to request another developing service.

3. RIGHTS OF PARENT

Parent and Service Providers, in their sole discretion, expressly reserve the right to freeze, delete, suspend, deny, cancel, modify, take ownership of or transfer any Web Developing and/or Designing Order, in order to comply with any applicable Dispute policies, requests of law enforcement, or in compliance with any Court Orders, or if Parent or Service Providers in their sole discretion determine that the information associated with the Web Developing and/or Designing Order is inaccurate, or has been tampered with, or has been modified without authorization, or if Parent or Service Providers in their sole discretion determine that the Web Developing and/or Designing Order ownership should belong to another entity, or if Customer/Customer/Registrant does not comply with any applicable terms and conditions, standards, policies, procedures, and practices laid down by Parent and Service Providers. The Customer agrees that Parent and Service Providers, and the contractors, employees, directors, officers, representatives, agents and affiliates, of Parent and Service Providers, are not liable for loss or damages that may result from any of the above.
